NexJ Systems Inc. Receives Final Court Approval for Plan of Arrangement and Sets Effective Date

Toronto, ON (January 15, 2016)NexJ Systems Inc. (TSX: NXJ) (“NexJ”), a provider of enterprise customer management solutions to the financial services industry and a cloud-based population health management platform to the healthcare industry, today announced that it has received the approval of the Ontario Superior Court of Justice for its previously announced shareholder approved Plan of Arrangement to spin-off the Healthcare business unit to NexJ Health Holdings Inc. (“Newco”), a newly-incorporated company.

The record date for the distribution of common shares of Newco (“Newco Shares”) is January 22, 2016. Upon completion of the Arrangement, shareholders of NexJ will own one new common share of NexJ and one Newco Share for each common share of NexJ held as of the close of business on the record date. The Arrangement will become effective at 12:01 a.m. on January 25, 2016.

Ex-distribution trading of the NexJ Shares will commence on the TSX at the opening of trading on January 20, 2016.  Investors who enter into trades to purchase NexJ Shares on or after January 20, 2016 will not be entitled to receive Newco Shares.

As a result of the Arrangement, Newco will become a reporting issuer in all of the provinces and territories of Canada and become subject to the continuous disclosure requirements and other reporting requirements under Canadian securities laws. It is not anticipated that the Newco shares will be listed on any stock exchange.
